| The management of all the affairs,
property and interest of the Association shall be vested in a
Board of Directors, consisting of one (1) class of nine (9)
persons, each of whom shall be elected for a term of three years,
(except in the case of the initial Board, which shall be subject
to initial terms as set forth in the Articles of Incorporation)
and shall hold office until their successors are elected and
qualify, or they resign or are removed. Directors need not be
residents of the District of Columbia. In addition to the powers
and authorities expressly conferred upon it by these Bylaws and
by the Articles of Incorporation, the Board of Directors may
exercise all such powers of the Association and do all such
lawful acts and things as are not by statute or by the Articles
of Incorporation or by these Bylaws directed or required to be
exercised or done by the member groups.
